These Terms and Conditions ("Terms") govern your use of the website located at brunelstudios.co.za and any services provided by Brunel Studios (Pty) Ltd ("Brunel Studios", "we", "us", or "our"). By accessing our website or engaging our services you agree to be bound by these Terms.

1. Services

Brunel Studios provides software development, mobile application development, web application development, MVP development, and related technology consulting services ("Services"). The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work or Proposal agreed between the parties in writing.

2. Intellectual Property

Unless otherwise agreed in writing, upon receipt of full payment for an engagement, Brunel Studios assigns to you all intellectual property rights in the custom deliverables created specifically for you under that engagement. Brunel Studios retains ownership of all pre-existing tools, frameworks, libraries, methodologies, and general know-how used in the delivery of Services. Nothing in these Terms grants you any rights in Brunel Studios' brand, trade marks, or website content.

3. Payment Terms

Fees are as agreed in the applicable Proposal or Statement of Work. Unless otherwise stated, invoices are due within 14 days of issue. Brunel Studios reserves the right to suspend work on any engagement where an invoice remains unpaid beyond its due date. All amounts are quoted and payable in South African Rand (ZAR) unless explicitly stated otherwise. Late payments accrue interest at the rate prescribed under the National Credit Act (or such other applicable rate) from the due date.

4. Confidentiality

Each party agrees to keep the other party's confidential information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law. This obligation survives termination of any engagement.

5. Warranties and Disclaimers

Brunel Studios warrants that Services will be performed with reasonable skill and care. To the maximum extent permitted by applicable law, all other warranties — express or implied — are excluded, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our website will be uninterrupted, error-free, or free of viruses.

6. Limitation of Liability

To the maximum extent permitted by law, Brunel Studios' aggregate liability arising out of or in connection with any engagement shall not exceed the total fees paid by you for the specific engagement giving rise to the claim in the three months preceding the event. Brunel Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, even if advised of the possibility of such damages.

7. Third-Party Links and Services

Our website may contain links to third-party websites or integrate third-party services. We have no control over and accept no responsibility for the content or practices of any third-party sites or services. Links do not constitute an endorsement.

8. Acceptable Use

You agree not to use our website or Services to: (a) violate any applicable law or regulation; (b) infringe any intellectual property rights; (c) transmit harmful, offensive, or unlawful content; (d) attempt to gain unauthorised access to our systems; or (e) engage in any activity that disrupts or interferes with our Services.

9. Termination

Either party may terminate an engagement for material breach upon 14 days' written notice if the breach is not remedied within that period. Brunel Studios may immediately suspend or terminate access to its website for violations of these Terms. Upon termination you must pay for all Services rendered up to the termination date.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of the Western Cape, South Africa.

11. Changes to These Terms

We may update these Terms from time to time. The revised Terms will be posted on this page with an updated "Last updated" date. Your continued use of our website or Services after such changes constitutes acceptance of the revised Terms.
